ZaboteQc Terms of Use
Version 4 — effective date: October 26, 2026
Key points
This summary does not replace the terms below; it points out the clauses that limit your rights or those of the Firm.
- Automated results are suggestions. Any result the Service produces automatically, including with artificial intelligence, must be checked before anyone relies on it (section "Automated results and artificial intelligence").
- Zasenami's liability is limited. It excludes indirect damages and is capped at the greater of 12 months of fees and $1,000 (three times those fees, at least $3,000, for a loss of data caused by Zasenami's failure to apply its own security and backup measures), except for what the law does not allow to be limited (section "Limitation of liability").
- Third-party providers. Zasenami is not liable for an incident that originates at a third-party provider or in software it does not host or control, provided it has taken reasonable security measures and has committed no intentional or gross fault (section "Third-party providers and security incidents").
- Suspension. Zasenami may suspend access without notice to protect the security of the Service or of information (section "Suspension").
- Indemnification. The Firm indemnifies Zasenami against third-party claims related to its data, its content, its messages and its use of the Service (section "Indemnification").
- Late payment. A late amount bears interest at 12% a year; a reversed payment adds a $50 administrative fee on top of processing fees; access may be suspended 15 days after a written reminder, or right away after a chargeback (section "Late and reversed payments" or the signed agreement).
- End of the Service. Zasenami may end the Service on 60 days' notice, or 30 days' if a material change goes unanswered; on an immediate termination for misconduct, the amount paid for the current month is not refunded (section "End of access and termination").
- Changes. A material change applies only once expressly accepted; until then, access to the Service may be blocked (section "Changes to these terms").
- Quebec law. Disputes go before the courts of Quebec, judicial district of Laval (section "Governing law and courts").
Purpose and acceptance
ZaboteQc (the "Service") is provided by Solutions Zasenami Inc. (NEQ 1182183815), Laval, Quebec ("Zasenami"), to Hazarabedian & Tosikyan Inc. ("the Firm").
These terms apply to every person who uses the Service with an account opened by or for the Firm (a "User" or "you"), including the Firm when it uses the Service itself. The information, documents and content entered into the Service by the Firm or its Users, or produced from them, are called "the Firm's data". The Users' accounts, acceptance records, security logs and support and billing records that Zasenami keeps for its own purposes are not part of it; the Privacy Policy states how long they are kept. Custom deliverables and the materials that belong to Zasenami are not part of it; they are governed by the "Custom deliverables" section.
The Service is intended for businesses and their staff, for their business activities. It is not offered to consumers. If you plan to use it for personal, family or household purposes, write to Zasenami before accepting: Quebec's Consumer Protection Act could then apply.
You accept these terms and acknowledge the Service's Privacy Policy by ticking the box or clicking the button provided for that purpose, next to a link to each of these two documents, before your first use. Merely using the Service is not acceptance of a new version. You accept these terms in your own name for your own use of the Service (your account, the rules of use, the limitation of liability and the warranties) and, when the Firm has authorized you to do so, also on its behalf; you then represent that you have the authority to do so.
You use the Service on behalf of Hazarabedian & Tosikyan Inc. The relationship between the Firm and Zasenami is also governed by the Service and Personal Information Processing Agreement they signed in the app. Between the Firm and Zasenami, in case of conflict, the agreement they signed prevails over these terms. Your employment or mandate with the Firm, its internal policies and your professional obligations continue to apply.
These terms and the Service and Personal Information Processing Agreement they signed in the app are the entire agreement on the Service. No statement that is not in them, whether from promotional material, an artificial-intelligence assistant or a conversation, binds Zasenami unless an authorized person at Zasenami confirms it in writing. The Privacy Policy, a separate document, describes how personal information is handled.
The Service
ZaboteQc is a bookkeeping app built for the Firm and hosted at zaboteqc.zasenami.com. It is used to manage the files of the Firm's clients and their businesses, read bank and card statements, classify transactions according to the Firm's chart of accounts and produce the entry lists, communicate with clients by text message, invoice the Firm's services and manage its work (timesheets, tasks, internal chat).
The Firm's clients have no account in the app: only the Firm's staff and the people it authorizes have access.
Accounts and access
- The Service is reserved for the Firm and the people it authorizes. You must be of full age (18), or be 14 or over and use the Service for your work for the Firm, with its authorization.
- Your account is personal. Do not share your password, PIN or sign-in codes with anyone, and do not let anyone work under your name.
- If you lose a device, believe someone knows your credentials or notice activity you do not recognize, notify the Firm and Zasenami without delay.
- Sign out of shared devices.
- The Firm chooses the people it gives access to and their permissions, and removes the access of anyone who leaves its employ or no longer needs it. The Firm answers for its Users' acts in the Service as for its own. Zasenami may treat any action taken with one of its Users' accounts as authorized by the Firm, unless Zasenami had been notified that the account was compromised or the action results from its fault.
- The Firm is responsible for the security of its own devices, networks, email accounts and other accounts used to access the Service.
Two-step sign-in
- Two-step sign-in (authenticator app) is required for every account. Never share the codes from your authenticator app.
- You can see your devices and close your sessions in your settings.
Permitted use
The Service may be used only for the Firm's business, in accordance with the law and within the access granted. It is prohibited:
- to view, copy or export information you do not need for your work;
- to attempt to bypass a permission, limit or security measure, or to test the security of the Service without Zasenami's written authorization;
- to upload or transmit an infected or malicious file, or to interfere with the operation of the Service;
- to extract data by automated means, copy the Service, reproduce how it works, decompile it or resell it;
- to enter personal information about a person without the right to do so, or to use it for a purpose that person has not accepted and the law does not allow;
- to use the Service to harass, threaten, deceive or impersonate anyone, to commit fraud or to send unsolicited messages;
- to use an artificial-intelligence feature to produce illegal, hateful or sexual content or content targeting minors, to create a deepfake, to bypass the model's safeguards (including by prompt injection) or to train another model on its outputs;
- to base an important decision about a person on an automated result without human review;
- to use the Service in a way that breaks the law or the rules of one's profession.
Confidentiality of the Firm's information
The Service holds information about the Firm, its customers, its staff and other people. This information is confidential.
- Handle it in accordance with Quebec's Act respecting the protection of personal information in the private sector and the Firm's policies.
- Do not disclose it to anyone who is not entitled to it.
- Keep exported copies (lists, files, photos, archives) only if your work requires it, and only where the Firm allows.
- If you believe information has been seen, lost or disclosed without authorization, immediately notify the Firm's person in charge of the protection of personal information. The Firm must record these incidents in a register and, in some cases, report them.
Automated results and artificial intelligence
The Service produces certain results automatically, some of them with an artificial-intelligence model: reading bank and credit-card statements in PDF and photo form, and suggesting an account from the chart of accounts for each transaction, based on the Firm's rules, its conventions and, when needed, Anthropic's Claude model.
- Every automated result is a suggestion. The Firm and its Users check it before relying on it, sending it to anyone or using it in their records.
- An automated result can be wrong, incomplete or out of date, even when it looks right.
- The Service gives no professional advice, including accounting, tax, legal, financial or technical advice. The choices, rules and decisions belong to the Firm.
- The artificial-intelligence providers, what they receive and what they may do with it are described in the Service's Privacy Policy.
What the Service records about your use
For security and for managing the Firm, the app records:
- the activity log: every change made in the app (who, what, when, the old and the new value). The Firm's owner and administrators can view it;
- sign-ins: the date, IP address, browser and device of each sign-in. The IP address and browser are deleted after 90 days;
- the work journal: pages viewed, the number of searches (not their content), filters used, exports, documents filed (their type, never their name), error messages shown and the length of work sessions. It is kept for two years. The Firm's owner can view each member's journal; you can view your own. A notice is shown before it starts;
- the timesheets you fill in;
- your acceptances of these terms and of the documents you sign in the app (account, version, date and time, IP address, browser).
The details are in the app's Privacy Policy.
Third-party services connected to the Service
The Service may connect to third-party services: Twilio's text-messaging service, to send text messages to the Firm's clients and receive their replies. These services belong to their providers and are governed by their own terms and policies.
- By connecting a third-party account to the Service, the Firm authorizes Zasenami to read and write in it, on its behalf, the information the Service describes.
- Zasenami is not responsible for the availability, content, changes or accuracy of the information of a third-party service.
- A third party may change or discontinue its service; a feature that depends on it may then change or stop.
Messages sent through the Service
The Service may send messages (emails or text messages) to the Firm's customers or other people, on the Firm's behalf.
- The Firm sends a promotional message only to a person who has consented to it or whose consent is implied under Canada's Anti-Spam Legislation. It keeps proof of that consent.
- Every message identifies the Firm as the sender and, if it is promotional, offers a simple way to unsubscribe. The Firm honours every unsubscribe request without delay, in all its tools.
- No sensitive information (social insurance number, full account number, health information, password) may be put in a message.
- Zasenami may refuse or suspend a send that it believes, on reasonable grounds, is made without valid consent.
Text messages to the Firm's clients
- The app may send the Firm's clients reminders, appointment notices, document requests and greetings.
- The app records each client's consent status and refuses to send a promotional message to a client whose consent is not recorded. Keep these consents up to date.
- A client may reply "ARRÊT" or "STOP", or use the link included in promotional messages; the app then stops sending them any.
Fees and billing
The price of the Service and its payment terms are those of the Service Agreement signed between the Firm and Zasenami and its Schedule B. The Firm's staff members pay nothing to use the app.
Late and reversed payments
- Unless otherwise stated in the price terms that apply to the Service, an invoice is payable within 30 days of its date. Prices are in Canadian dollars, taxes extra.
- An amount unpaid when due bears interest at the annual rate of 12%, from the due date.
- A payment is treated as unpaid, from the date of the original invoice, if Zasenami does not receive or keep its funds, including in case of a chargeback, a dispute with a card issuer, a refused or returned transfer, or a payment reversed by the payer's financial institution. The Firm then pays the amount due, the processing fees Zasenami had to pay and an administrative fee of $50.
- If an amount remains unpaid 15 days after a written reminder, Zasenami may suspend access to the Service until payment. In case of a chargeback or payment reversal made without first submitting the dispute to Zasenami in writing, it may suspend access without waiting for that delay.
- During a suspension for non-payment, the Firm's data is kept and protected, and access is restored as soon as payment is received.
Availability and superior force
- Zasenami makes reasonable efforts to keep the Service available and working properly, without guaranteeing uninterrupted or error-free service. The Service may be interrupted for maintenance, an update, a provider outage or a security incident.
- Zasenami is not liable for a delay or failure caused by superior force, meaning an event beyond its control that it could not reasonably prevent, including the following, whether foreseeable or not: an outage of a hosting, database, email, messaging, payment or artificial-intelligence provider; a general Internet, power or telecommunications outage; a cyberattack targeting a provider or the Internet at large; a change to or the discontinuation of a third-party service; a decision of a public authority; a disaster, an epidemic or a labour dispute. Zasenami restores the Service as soon as possible and keeps the Firm informed.
- The Service is not the only copy of the Firm's documents. The Firm keeps its original documents and records in accordance with its legal and professional obligations.
Intellectual property and data
- The Service, its code, design, documentation and texts belong to Zasenami or its licensors. The Firm and its Users receive only a non-exclusive, non-transferable right to use it for the Firm's business, while their access is active. No other right is granted.
- Subject to the "Custom deliverables" section, the Firm's data belongs to the Firm.
- The Firm grants Zasenami a non-exclusive, worldwide, royalty-free licence to host, copy, process (including through the providers named in the Privacy Policy), display and transmit the Firm's data, solely to provide, protect, maintain and support the Service, while it is stored there and until the end of its backup cycle.
- Zasenami does not use the Firm's data to train an artificial-intelligence model, does not sell it and does not use it for any other purpose, subject to the "Custom deliverables" section, to what the section "End of the Service: return and destruction of data" allows for a dispute and to what the law requires. It may keep aggregated technical statistics on how the Service runs (for example response times and errors), which contain no personal information and none of the Firm's data.
- Zasenami may freely use suggestions and feedback about the Service.
The Firm's cooperation and scope of work
- The Firm provides on time the content, access, information, feedback and approvals Zasenami needs, names one person for decisions and makes sure it holds the rights to everything it provides.
- A delay caused by the Firm extends the timelines accordingly, without changing the payment schedule.
- The work is what the signed proposal, agreement or order describes. Any additional work is estimated and agreed in writing before it starts.
- Zasenami may refuse a request, even one within the scope of work, that in its reasonable judgment is illegal, would facilitate illegal conduct, would infringe a third party's rights, would mislead the public or would harm its reputation. It gives the reason in writing.
Warranties
- Zasenami undertakes to provide the Service with prudence and diligence, in accordance with good practice. This is an obligation of means.
- Except for this undertaking and what the law imposes without allowing any derogation, the Service is provided as is and as available. In particular, Zasenami does not guarantee:
- uninterrupted or error-free operation;
- the accuracy of an automated result;
- a specific business result, such as traffic, revenue, a conversion rate, a ranking in search results or a mention by an artificial-intelligence assistant;
- the availability or operation of a third-party service;
- that the Service is fit for a particular use Zasenami has not accepted in writing.
- A feature offered free of charge, on trial, in beta or presented as experimental is provided as is and may change or be withdrawn at any time.
Limitation of liability
To the fullest extent permitted by law:
- Zasenami is not liable for indirect damages, or for loss of profits, revenue, goodwill or business opportunities.
- Zasenami is not liable for a loss of data, unless it results from its failure to apply the security and backup measures it has undertaken to take. In that case, and for that loss only, the cap below is replaced by the greater of the following two amounts: (a) three times the amounts paid by the Firm to Zasenami for the Service during the 12 months before the event that gave rise to the first claim; (b) $3,000.
- Zasenami is not liable for a loss arising from an automated result that the Firm or a User did not check, from a use of the Service contrary to the terms that govern it, or from information, content or instructions provided by the Firm or its Users.
- Except for the loss of data covered by the previous point, Zasenami's total liability to the Firm and all its Users together, for all claims related to the Service, on whatever basis, is limited to the greater of the following two amounts: (a) the amounts paid by the Firm to Zasenami for the Service during the 12 months before the event that gave rise to the first claim; (b) $1,000.
No provision excludes or limits Zasenami's liability for bodily or moral injury, for material injury caused by intentional or gross fault, or any other liability that the law does not allow to be excluded or limited.
Third-party providers and security incidents
Zasenami delivers its services using reputable third-party providers (for example hosting, database, payment, email and artificial-intelligence providers), selected with care and bound, where they offer one, by a data processing agreement. Zasenami is not liable for a security incident, outage, data loss or unauthorized disclosure of information — including its later publication or sale by third parties — that originates in a third-party provider's systems, or in software Zasenami does not host or control (including the Firm's own website, hosting provider, devices, networks, accounts or plugins not maintained by Zasenami), provided Zasenami has taken reasonable security measures and has committed no intentional or gross fault. In such a case, Zasenami will: (a) notify the Firm without undue delay once it becomes aware of an incident affecting the Firm's information; (b) cooperate in good faith, including with the provider, to contain the incident and limit its consequences; and (c) meet its own obligations under applicable privacy law, including notifying the Commission d'accès à l'information and affected individuals where the law requires it. Nothing in this section limits any right that individuals or regulators hold under applicable privacy law, or any liability that cannot be excluded under Quebec law.
Indemnification
The Firm indemnifies Zasenami and holds it harmless from any third-party claim, and the reasonable defence costs related to it, arising from:
- The Firm's data or the content, documents and other materials it provides to Zasenami for the Service or for a deliverable, or the lack of the rights or consents needed to provide them, enter them into the Service or process them there;
- a use of the Service by the Firm or its Users contrary to the law or to the terms that govern it;
- a message sent through the Service, for the Firm, without valid consent;
- statements or commitments the Firm makes to its own customers or other people;
- an instruction from the Firm that Zasenami followed.
Zasenami notifies the Firm of such a claim without delay and cooperates reasonably in its defence. The indemnity does not apply to the extent the claim arises from Zasenami's fault.
Confidentiality between the parties
- Each party keeps confidential the other's information it learns through the Service (including strategies, prices, customer lists, unreleased products and technical details) and uses it only to perform its obligations.
- This obligation lasts during the relationship and for two years after it ends. For personal information and the Firm's data, it lasts without time limit.
- It does not cover information that is already public through no fault of the receiving party, lawfully obtained from a third party, independently developed, or whose disclosure is required by law or a court; in that last case, the party required to disclose it first notifies the other where the law allows.
- A confidentiality agreement signed between the parties prevails over this section for its subject matter.
Suspension
- Zasenami may suspend without notice the access of a User, or that of the Firm, if that access poses a risk to the security of the Service or of information, if the Service is used in a way contrary to the law or to the "Permitted use" section of the Terms of Use, or if the law, a court or a provider requires it. It then notifies the Firm without delay, with the reason.
- The Firm may at any time change a User's permissions, suspend their access or remove it.
- A suspension lasts only as long as necessary. During a suspension, the Firm's data is kept and protected.
End of access and termination
- Users. A User's access ends when the Firm removes it, when their employment or mandate ends, or when the Service ends. The data they entered remains the Firm's data.
- By the Firm. Subject to a minimum term accepted under the section "Minimum term and waiver of the right to resiliate", the Firm may end the Service at any time by written notice. The end takes effect at the end of the current month or on the later date stated in the notice. Amounts prepaid for a period after that date are refunded pro rata, less any discount granted for a prepaid period that has not been earned. The Firm pays for the Service provided up to that date and for third-party costs already incurred for it that cannot be cancelled.
- Exit over a change. When the Firm ends the Service because of a change it may refuse (a material change to the terms, a new price, or a new provider it objects to under the section "Processing personal information for the Firm"), the end takes effect on the date stated in its notice, no later than the date the change was to apply, or on receipt of the notice if that date has passed. The Firm pays no penalty, despite any minimum term: only the Service provided up to the end and third-party costs already incurred for it that cannot be cancelled remain owed. The change does not apply to it until then, except an urgent provider replacement for the security or continuity of the Service. Amounts prepaid for the period after the end, and for any period during which its access was blocked for lack of acceptance, are refunded to it pro rata.
- By Zasenami. Zasenami may end the Service for a serious reason, or on at least 60 days' written notice, without doing so at an inopportune time. Amounts prepaid for a period after the end are then refunded pro rata.
- For breach. A party may terminate if the other fails to perform a material obligation and does not cure it within 30 days of written notice.
- Immediate termination. Notwithstanding the above, Zasenami may terminate immediately, by written notice, if the Firm or a person acting for it: harasses, threatens or intimidates Zasenami's staff or uses abusive or discriminatory language toward them; requests work or a use that is illegal, fraudulent or misleading to the public, or that would infringe a third party's rights; makes a chargeback or reverses a payment in bad faith, or without first submitting the dispute to Zasenami in writing; lies about its identity, its authority to contract or the nature of its business; or breaches confidentiality in a way that causes or risks causing material harm to Zasenami. Amounts owed for the Service provided then become payable; Zasenami keeps the amount paid for the current month and refunds pro rata the rest of the amounts paid in advance, less any discount granted for a prepaid period that has not been earned.
- Effects. At the end of the Service, whatever the cause, the Firm's data is returned and destroyed as provided in the section "End of the Service: return and destruction of data" or in the signed agreement. The sections on late and reversed payments, intellectual property and data, custom deliverables, warranties, limitation of liability, third-party providers and security incidents, indemnification, confidentiality, the end of the Service, dispute resolution, governing law, the United States section, language and general provisions continue to apply after the end of the Service. Every obligation to protect personal information continues to apply until that information is destroyed.
End of the Service: return and destruction of data
- Until the end of the Service, the Firm may export its data using the Service's features provided for that purpose. During a suspension, export is done on written request from its owner or a person it has authorized to administer the account: Zasenami delivers the copy within 30 days, once the person's identity is verified.
- On a written request made no later than 30 days after the end of the Service, Zasenami gives the Firm, within 30 days of the request, a complete copy of the Firm's data in commonly used formats, subject to the "Custom deliverables" section.
- Zasenami then destroys the Firm's data from its systems within 60 days after delivering the copy or, if no request is made, within 90 days after the end of the Service, except what the law requires it to keep and what the "Custom deliverables" section allows, and confirms it in writing on request. Within the same period, it deletes this data from its providers' services or asks them to delete it. As an exception, Zasenami keeps what is needed to establish, exercise or defend a right in a dispute raised in writing before this period ends, without using it for any other purpose, until the dispute is resolved or the claim is time-barred, then destroys it and confirms it in writing on request.
- Providers delete the backups, logs and other copies they keep on their own retention schedules; these copies remain protected until then.
Changes to these terms
- Zasenami may change these terms, for example to follow a new feature, a new provider or a change in the law. Each version carries a number or a date, and its effective date.
- Zasenami notifies the Firm and the Users of each new version in writing, in the Service, by email or both. The notice summarizes what changes and links to the new version.
- Minor change (for example a clarification, new contact details or a new provider that does not change how information is used): it takes effect on the date of the notice, unless the notice sets a later date.
- Material change (including a change affecting liability, prices or the use of information, or the addition of a use of artificial intelligence): it applies to you only once expressly accepted, for example by ticking a box. Until then, access to the Service may be blocked, except to read the new version, accept it, sign out and, for the Firm, export its data. Continuing to use the Service is not acceptance of a material change.
- To bind the Firm, a material change is accepted by its owner or by a person it has authorized to administer the account; another User's acceptance binds only that User.
- If the Firm refuses a material change, it may end the Service by written notice given within 30 days of the notice of change, under the "Exit over a change" rule in the section "End of access and termination". During those 30 days, it keeps the access needed to export its data. If, after those 30 days, the change has been neither accepted nor refused, the Firm may end the Service under the same rule, and Zasenami on at least 30 days' written notice, without doing so at an inopportune time; amounts prepaid for the period after the end, and for any period during which access was blocked, are refunded pro rata.
Dispute resolution
- A party that wants to raise a dispute sets it out in writing to the other, with the solution it seeks. The parties then try in good faith to settle it by discussion, between authorized people, for at least 30 days.
- They may then, by mutual agreement, use mediation with a mediator based in Quebec, each paying its own costs and half of the mediator's.
- These steps do not prevent a party from going to court to avoid the prescription of a right, to collect an amount owed, or to obtain an injunction to protect its intellectual property, confidential information or personal information.
Governing law and courts
The Service and the terms that govern it are subject to the laws of Quebec and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. Any dispute goes before the courts of Quebec, judicial district of Laval, or of Montréal if the Laval courts do not have jurisdiction.
Language
This document is presented first in French, and an English version is offered. No fee is charged for the French version. A person who chooses the English version declares that they expressly wished to do so after the French version was provided to them. Both versions were written to have the same meaning.
General provisions
- Electronic signature and proof. An acceptance or signature made electronically in the Service or on a Zasenami signing page binds the person who makes it and links them to the document accepted (sections 38 and 39 of the Act to establish a legal framework for information technology). The parties agree to treat it as their signature. Zasenami keeps proof of it: the account or name of the person, the document, its version, the digital fingerprint of the text presented, the date and time, the IP address and the browser. This proof is evidence of its content in the absence of proof to the contrary.
- Severability. If a provision is held null or unenforceable, it is without effect to that extent only, and the other provisions continue to apply.
- Waiver. Not exercising a right is not a waiver of that right.
- Assignment. The Firm may not assign its rights or obligations without Zasenami's written consent. Zasenami may assign its own to a company in its group or to the acquirer of all or part of its business, by notifying the Firm; the information-protection commitments then follow the data.
- Notices. Notices are given in writing, by email to the addresses the parties have given each other or in the Service. A party notifies the other of any change of address.
